We are delighted to have advised Glencore as part of the successful refinancing of Tullow Oil's financial indebtedness including its $1.285bn senior secured notes and the Glencore $400m secured notes facility. The transaction was implemented consensually with Glencore and by way of a consent solicitation of the senior secured notes which obtained 99.7% support from noteholders. The comprehensive, complex refinancing transaction was designed to extend Tullow’s debt maturity profile, support the delivery of its investment programme, and create a stable platform for value-maximisation of its asset base. As part of the transaction, the maturity dates of the senior secured notes and Glencore’s junior notes were extended by two years. Glencore will also provide Tullow Oil with a revolving cargo prepayment facility of up to $100m. Congratulations to the Glencore team on this significant milestone! The Linklaters team was led by Rowland Light (Partner, Restructuring & Insolvency, London), Toby Grimstone (Co-global Head of Banking) and Ewan Smith (Managing Associate, Restructuring & Insolvency, London). Investment decisions for financial sponsors are increasingly shaped by factors beyond traditional financial and operational considerations. Regulation, technology, geopolitical developments, and sustainability expectations are now central to how value is assessed, protected, and realised across portfolios. This year’s Issues for Financial Sponsors and their Portfolio Companies 2026 publication examines a range of developments with direct implications for sponsors and their portfolio companies, including the EU's digital package, agentic AI, cyber resilience, antitrust enforcement, sustainability risk and workforce change, and highlights the governance choices that can support effective oversight and long-term value creation. If you’d like to explore how a strong governance premium can help sponsors and portfolio companies manage risk, build resilience, and seize strategic opportunities, read our publication 👉 https://lnkd.in/dwMteB6M
