Israeli M&A is running at an unprecedented pace in 2026 and the underlaying reason is really interesting. Wiz and CyberArk both cleared regulatory approval on deals announced last year. That's two megadeals closing on the same day. Beyond the massive headlines, the baseline activity in 2026 caught my attention. The numbers so far (as of Feb 11): → 13 disclosed acquisitions in 42 days → $4.2B of M&A capital → 2.2 deals per week This amounts to $100M of #liquidity returning to investors every day! What other ecosystem provides $100M of liquidity per day on average since the beginning of 2026? If this pace holds, we're looking at ~113 M&As by year-end and close to $37B in disclosed value. This is excluding the just approved megadeals and excluding the unannounced rounds (which probably add $3-20m each). What's driving this? AI is the obvious answer. 10 of 13 deals are AI-centric companies. But I think there's something deeper happening: - Acquirers are paying premium multiples to compress time-to-AI-capability rather than build internally. - Israeli startups are shipping production-level AI, not demos. That's the arbitrage. - Speed > cost in this market cycle. Meanwhile, startup creation is on the rise (we predicted this in our stealth report ~12-months ago). It seems the industry will continue producing sellable companies at an increasing rate. This year is poised to be very interesting 😇

BIS’s Coming “50% Rule” is here — And Sayari Is Ready to Help Companies Comply As the U.S. Bureau of Industry and Security (BIS) moves toward formalizing a 50 percent ownership rule for subsidiaries of listed entities, compliance teams face a looming compliance tsunami. Under this proposed expansion, any company that is 50% or more owned (directly or indirectly, or aggregating stakes) by one or more parties on the BIS Entity List or Military End-User (MEU) List would itself become subject to export control restrictions — even if it is not named explicitly. In short: the name-based screening model many organizations rely on is no longer enough. The “whack-a-mole” problem BIS aims to solve is when a listed company shifts business via subsidiaries, shell entities, or complex ownership chains that bypass detection. Why This Puts Compliance Teams Under Pressure - Expanded screening scope: Compliance tools must evaluate indirect ownership, multiple-level chains, cross-holdings, and aggregated ownership stakes. - Higher false-negative risk: Vendors with weak data in opaque jurisdictions risk missing subsidiaries of high-risk owners. - Operational risk: Banks, payment processors, and financial institutions routinely check counterparties, vendors, and supply chain entities. If those checks miss a BIS-50 entity, downstream transactions (wires, payments, trade finance) may run afoul of export controls. - Latency & decision burden: Manual investigations of hard-to-map ownership deal flows slow down onboarding, delay deals, and introduce bottlenecks. In payments and banking particularly, counterparties, upstream processors, or sub-vendors may be located in geographies with opaque ownership (e.g. China, Russia, emerging markets). Many screening systems currently used in trade or sanctions compliance lack reliable coverage of those jurisdictions, creating dangerous blind spots. Why Sayari Is Uniquely Positioned to Address BIS 50% Risk - Deep, global corporate & ownership coverage in opaque jurisdictions: Sayari maintains robust data coverage for countries traditionally considered “dark” like China, Russia, and others, including detailed corporate registries, beneficial ownership, shareholder relationships, and cross-border holding networks. - Majority-ownership logic built in: Our system is already architected to compute ownership percentages, aggregate holdings, and trace indirect control relationships so that even non-listed entities with risky upstream owners are flagged. - Signal-based alerting & screening module (BIS50): We have launched Sayari Signal BIS50, a module designed to detect and flag entities that cross the 50% ownership threshold relative to BIS/MEU listed parties.
