A founder told me, “Buyers will love our brand. It’s strong.” I asked how he knew. He said, “Everyone says so.” What he meant: Customers like us. We have decent margins. We’ve been around awhile. What the buyer heard: There’s no actual measurement. No brand equity analysis. No competitive moat. No IP. No mindshare beyond a gut feel. In other words: “Please assign a subjective premium during diligence and you’ll find a reason to pay it.” Spoiler: they won’t. Buyers aren’t moved by pride. They're moved by evidence. Brand has value—when it reduces CAC, attracts top talent, drives margin, creates deal flow, accelerates NPS, and shows up in the numbers. Otherwise, it’s a story. Good stories help founders raise money. But they don’t close great exits. Most LMM owners think their brand is an asset. Buyers treat it like a line item—until you prove it’s a moat. That gap takes 12–24 months to close, if you even know where to look. Owners who win the game prepare before the spotlight hits. Send this to the founder who needs a wake-up call.

“Standard and customary” sat quietly in the LOI. It became the loudest issue at the end of the deal. Here is the pattern. At the LOI stage, everyone wants speed. Buyers want exclusivity. Sellers want momentum. No one wants friction. So vague language slips in. “Standard and customary.” “Working capital to be agreed later.” “Market reps and warranties.” Nothing explodes. Everyone moves on. Until late-stage documents. By then, the clock has run. Fees are sunk. Advisors are fully involved. Positions have hardened. Now those words matter. What is “standard” to one team feels aggressive to another. What is “market” depends on which deals you reference. What was deferred now carries emotion, leverage, and fatigue. This is where deals stall or die. Not because the terms are novel. Because they arrive too late. Each side feels they already conceded enough. Each advisor has a view on what is reasonable. Every change feels like backtracking. Nearly every deal that dies late would have died early. Early would have been cheaper. Losing a deal at LOI because you cannot align on working capital, indemnity scope, or risk allocation is a better outcome than discovering the same gap after months of diligence and legal spend. Early failure protects time and capital. Late failure burns both. Strong LOIs do not answer everything. They answer enough. Ranges. Formulas. Defined assumptions. Clear guardrails. Alignment beats speed. “Standard and customary” is not neutral language. It pushes real negotiation to the worst possible moment. Good dealmakers are willing to lose deals early.
